POSITION SUMMARY
The Director, Corporate Counsel provides a wide range of supportive legal counsel and advice to the Company, including its affiliated operating companies. The position is responsible for providing direct and indirect legal support to the Company’s mortgage insurance operations, product development and sales groups, including drafting, reviewing and overseeing responses to customer and servicer agreements, vendor contracts, lender questionnaires, master policy forms and endorsements, and performing required legal research. Additionally, this position provides legal support for monitoring and advising on federal and state laws and regulations affecting mortgage guaranty insurance (including, but not limited to, RESPA, ATR, QM, and QRM rules and guidance, as well as state insurance holding company act filings and anti-inducement, anti-rebate, unfair discrimination, unfair practices), regulatory inquiries, investigations and examinations, and Government-Sponsored Enterprises (GSE) matters and negotiations. The position may also provide secondary legal support on the full spectrum of SEC filings and compliance filings, financing and reinsurance arrangements.

JOB DUTIES & RESPONSIBILITIES

  • Review and negotiate third-party contracts, advise on general commercial matters, work with outside counsel on a wide array of issues, research and prepare memoranda on legal issues, and provide advice on compliance, regulatory, and general business matters.
  • Provide advice and counsel to various internal clients, including sales and sales support functions, product development, policy servicing and default servicing to proactively address and resolve potential issues; provide risk management advice to support the Company’s strategic initiatives and corporate objectives and interpret and advise on master policy issues. 
  • Work collaboratively with other attorneys in the legal department and management to help solve complex problems. Assist with the continued development of processes and procedures to support the Company’s maturing operations, including refinement of underwriting, default and claims related processes.
  • Negotiate with, and act as, a resource for lender customers related to legal issues that arise under the Company’s master policy.
  • Review and analyze legal risks for the Company, including with respect to development of products and services.
  • Assist with corporate governance matters.
  • Provide back-up legal support on debt, equity and reinsurance offerings as necessary.
  • Maintain professional and technical knowledge by attending educational conferences and seminars; review professional publications; establish personal networks; benchmark state-of-the-art practices; participate in professional societies.
  • Perform ad hoc responsibilities as needed

SKILLS & KNOWLEDGE

  • Juris Doctorate (J.D.) from an accredited law school; license to practice law in one or more states and/or the District of Columbia. If not licensed in California, then eligible to be admitted as a Registered in-house counsel in California.
  • Minimum of three years of professional corporate and securities legal experience in a business environment in a top law firm.  Experience in mortgage or insurance a plus.
  • Expertise in drafting and negotiating a wide range of legal documents and contracts.
  • Proficiency with Microsoft Office products, Outlook, Nitro Pro, Diligent OneClick, Workiva, Echosign and Adaptive Insights.
  • Excellent written and oral communication skills.
  • Ability to work independently under general direction with latitude for initiative and independent judgment.
